Procedure to incorporate section 8 companies

Steps for Incorporation of company under section 8 of Companies Act, 2013

1.               Filing of Form No. INC-1, for name availability and reservation of name

2.               Application to CG for grant of license u/s 8 in Form No. INC- 12 along with following attachments:

a)                           Draft MOA & AOA [MOA should be as per Form No. INC- 13]

b)                          Declaration by Advocate, CA, CWA, CS in Form No. INC-14

c)                           Estimate of Future Annual Income & Expenditure of company for next 3 years. Also, specify the source of income and objects of expenditure

d)                          Declaration in Form No. INC-15

3.               File Form No. INC-7 for incorporation of company, specifying therein the license number as granted by CG u/s 8

4.               File Affidavit in Form No. INC-9 & Form No. INC-10 for verification of signature of subscribers

5.               File in Form No. DIR-12 for particulars of appointment of directors & key managerial personnel and Form No. DIR-2 consent of director
